Terms of Use & Warranty/Returns

 

This agreement ("Agreement") contains the terms and conditions for the use of the Heartwood Carving, Inc. ("heartwoodcarving.com.") Family of Internet Sites. As used in this Agreement, "we", "us", or "our" refers to Heartwood Carving, Inc., "you" or "your" refers to the individual or entity using the Internet Site, and "Internet Site" refers to all viewable pages including page headers, custom graphics, button icons, links, and text, underlying program code, database content, products and accompanying services and documentation. By accessing, browsing and/or using this Internet Site, you acknowledge that you have read, understood, and do agree to be bound by these terms and conditions and comply with all applicable laws and regulations, including U.S. and International laws and regulations.

 

 

Right of Usage (Revocable License)

We grant to you a limited, non-exclusive, non-transferable, revocable license to use the Internet Site for the purpose of managing your purchasing process, including viewing, requesting, approving and ordering products on behalf of yourself or your company. As a Licensee of the Internet Site, you may not rent, lease, grant a security interest in, or otherwise transfer any rights you have in the use of this Internet Site. You further are not authorized to resell the purchase management and processing services of this Internet Site. 

 

Prohibition Against Reverse Engineering

Purchasing Conditions

By placing an order with Heartwood Carving, Inc., you agree to be bound by the terms and conditions of this Agreement and the Business Policies of Heartwood Carving, Inc., as they are revised from time to time. Each order submitted is subject to acceptance by us. We reserve the right to accept or decline any order for any or no reason. Risk of any loss or damage to products you order from us shall transfer to you upon delivery of such products to you. Title to these items shall pass to you only upon full payment of the total price for such items. Until such full payment, you hereby grant us a purchase money security interest in such items ordered from us, and further agree to cooperate and assist us in the perfection of such interest.

 

 

Upgrades, Modifications and Functionality

Heartwood Carving, Inc. reserves the right to update and upgrade the Internet Site at our sole discretion without notice to you, including but not limited to, changing functionality, user interface, procedures, documentation, or any of the terms and conditions of this Agreement. Heartwood Carving, Inc. further reserves the right to modify any of the terms and conditions contained herein and in the Business Policies by posting them on the Internet Site. IF ANY UPDATE, UPGRADE OR MODIFICATION IS UNACCEPTABLE TO YOU, YOUR ONLY RECOURSE IS TO DISCONTINUE YOUR USE OF THE INTERNET SITE. YOUR CONTINUED USE OF THE INTERNET SITE FOLLOWING ANY CHANGE IN OUR SITE OR POSTING OF A NEW AGREEMENT ON OUR SITE WILL CONSTITUTE A BINDING ACCEPTANCE OF THE CHANGE.

 

 

Terms and Termination of Agreement

This license will terminate automatically upon our notice to you if you fail to comply with the terms and conditions described herein. Heartwood Carving, Inc. has the right to terminate the license of any user at any time for any or no reason. Such termination may be based solely on the discretion of Heartwood Carving, Inc..

Heartwood Carving, Inc. DOES NOT WARRANT THAT YOUR USE OF THE INTERNET SITE WILL BE UNINTERRUPTED, MESSAGES OR REQUESTS DELIVERED, OR THE OPERATION OF THE INTERNET SITE WILL BE ERROR-FREE OR SECURE. Pricing Policy

We reserve the right to verify, correct or change pricing at any time for any reason. We reserve the right to accept or reject any sale, at any time for any reason or for no reason at all. If price on website does not reflect true or accurate pricing, we reserve the right to correct the pricing before any sale is final. if there is a pricing discrepancy, customer may accept the revised pricing or cancel their order.   

 

Shipping and Shipping Damage

Every effort will be made to minimize Freight & Handling charges.   Heartwood offers the choice of carriers where possible and may change selected carriers if a lessor cost or a shipping benefit (ie faster service is available) is available for the same rate.

It is the responsibility of the recipient to verify the condition of the goods received and notify Heartwood of any shortages or damage at the time of delivery.

  1. Our terms of sale are FOB Eugene, OR. The responsibility for damage in transit is the carrier’s, whether it is visible or concealed damage.
  2. Inspect your shipment immediately.
  3. Open boxes within 15 days of delivery, inspect for concealed damages and report any discrepancies. No adjustments will be made for discrepancies not reported within 15 days of receipt.
  4. In case of a damaged Fed Ex or UPS package shipment, retain all packaging and notify Heartwood immediately.
  5. In case of a damaged LTL shipment, retain all packaging and notify the delivering carrier immediately. The carrier may wish to inspect the material. Place a phone call to the delivery carrier and confirm with a written report, holding a copy of the report for claim purposes.
  6. We take every precaution to ensure safe arrival and have consulted with the carriers to develop packaging. Our responsibility for the goods ceases when the shipment is turned over to the carrier.
  7. Claims of damages must be made by you to the carrier within 15 days of receipt of delivery.
  8. *Claims for packages marked "delivered" must be filed after 5 days and before 15 days from the date the package was marked "delivered." Claims for packages presumed to be lost (where the status is not "delivered") must be filed after 7 days (20 days for international) and within 30 days from the last checkpoint.

Returned Goods Policy

We do not accept returns without prior authorization and approval in advance.   Returns will not be accepted if after 60 days from shipment. Returns may be subject to a 25% or greater restocking fee for standard parts that are returned undamaged. Custom parts sales are final and are not returnable or refundable. Return value is based on parts only and excludes shipping charges. All charges and responsibility for returns are borne by the purchaser and are also non-refundable. Custom parts are non-returnable and non-refundable.

Returns will not be credited that are (1) marked on, (2) modified in any way, (3) exposed to excessive sun or moisture, (4) have sheetrock mud, primer, stain or job-site damage. For parts to receive credit, they must be in resalable condition. Returns are FOB buyer and are subject to a minimum 25% restocking charge. 

No returns allowed after 60 days from date of shipment.  After 60 days, if return is allowed at Heartwood’s discretion, the restocking charge will increase by 10% per month. Heartwood has the right to refuse any return. All carvings must be in original or comparable packaging.

  1. Do not return any product without prior authorization (email your request).
  2. Returned products must have packaging equal to original Heartwood factory packaging (with adequate protective padding material and cardboard securely fastened). Heartwood will not be responsible for damage incurred because of insufficient packaging.
  3. Special order and custom-manufactured items cannot be returned.
  4. Return merchandise will not be accepted from the carrier unless it is returned freight prepaid.

 

Miscellaneous

In the event unauthorized charges appear on your credit card through no fault of your own and result expressly from using the Heartwood Carving, Inc. site, and for charges which your credit card company holds you liable, Heartwood Carving, Inc. may, at its option, cover the liability for up to $50.00, or provide you with a discount on Heartwood Carving, Inc. products, provided you notify your credit card provider in accordance with their reporting rules and procedures, and reasonably cooperate with Heartwood Carving, Inc. to stop the fraudulent use of your card. Heartwood Carving, Inc. will not be responsible or liable for any delay or failure to perform under this Agreement if such delay or failure results from fire, explosion, labor dispute, earthquake, casualty or accident, lack or failure of transportation facilities and/or services, lack or failure of telecommunications facilities and/or services including Internet services, epidemic, flood, drought, or by reason of war, revolution, civil commotion, blockade or embargo, act of God, any inability to obtain any requisite license, permit or authorization, or by reason of any law, proclamation, regulation, ordinance, demand or requirement of any government or by reason of any other cause whatsoever, whether similar or dissimilar to those enumerated, beyond the reasonable control of Heartwood Carving, Inc.. This Agreement represents the complete agreement concerning this license and may be amended only by a written amendment executed by both parties. THE ACCEPTANCE BY Heartwood Carving, Inc. OF ANY PURCHASE ORDER PLACED BY YOU IS EXPRESSLY MADE CONDITIONAL ON YOUR AGREEMENT TO THE TERMS SET FORTH HEREIN, AND NOT THOSE IN YOUR PURCHASE ORDER.  If any provision of this Agreement is held to be unenforceable, such provision shall be reformed only to the extent necessary to make it enforceable. You represent and warrant that, as the individual electronically agreeing to the terms of this Agreement, you are authorized and empowered to agree to this Agreement on behalf of yourself and any organization that you purport to represent.

 

 

Oregon  law shall govern this Agreement, excluding its conflict of laws and principles and excluding the United Nations Convention on the International Sale of Goods.
